Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("Customer" or "you") and MIX2MAX, LLC ("MIX2MAX," "we," "us," or "our") governing your access to and use of mix2max.com, the MIX2MAX AI workforce dispatch platform, our affiliated services (GoGo AI Team, GoGo POS, BSG Enterprise Support, Server2Agent), our cloud-licensing and managed tenant services for Microsoft 365, Azure, Google Cloud, Google Workspace, and AWS, and any related products or services (collectively, the "Services"). By accessing or using the Services you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility & Accounts

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

2. The Services

MIX2MAX dispatches AI agents trained for specific operational roles — including but not limited to phone ordering and reservations, restaurant POS automation, dispatch and helpdesk ticketing, and Windows server and endpoint administration — operating alongside your team on a 24/7 basis. MIX2MAX also acts as a reseller and tenant administrator for Microsoft (Cloud Solution Provider), AWS (Partner Network member), Google Cloud (Partner), and Google Workspace (Reseller), and as an integrator of third-party services including payment processing, bank-account verification for ACH-billing setup, and voice and SMS delivery for inbound AI phone agents. Specific features, limits, SLAs, and pricing are described in the applicable order form, subscription plan, or on our website.

3. Acceptable Use

You agree not to:

• Violate any applicable law or regulation or infringe any third-party right.
• Reverse engineer, decompile, or attempt to extract source code from the Services, except as permitted by law.
• Use the Services to generate content that is unlawful, harmful, deceptive, defamatory, or that facilitates abuse of any person or group.
• Upload malware, interfere with service availability, or attempt unauthorized access to our systems or other customers' data.
• Use AI phone agents in any manner that violates the Telephone Consumer Protection Act (TCPA), state consumer-call recording statutes, or applicable opt-in/opt-out requirements.
• Submit or instruct an AI agent to take any action against a tenant, system, or financial account you are not authorized to administer or transact with.
• Resell, sublicense, or expose the Services to third parties without our written consent.

4. AI Agent Operations & Recordings

You acknowledge that calls placed to or received by MIX2MAX-operated AI phone agents are recorded and transcribed for service delivery, quality assurance, and dispute resolution. Each call begins with an audible recording-disclosure announcement; continued participation on the call constitutes consent to recording under applicable law. Outbound communications are limited to (a) responses to an inbound interaction, (b) callbacks the customer requested, and (c) SMS to opted-in recipients per 10DLC registration. AI-generated output may contain errors; for transactions of material consequence (e.g., refunds, server changes, license transfers), you are responsible for review and approval.

5. Third-Party Services

Certain features rely on third-party providers including a PCI DSS Level 1 Payments Processor for payment processing, a SOC 2 Type II Bank-Account Verification Provider for ACH-billing setup, a SOC 2 / 10DLC-aligned Telephony & SMS Provider for inbound AI phone agents, upstream AI model providers (Anthropic, OpenAI, Google, xAI), and the platforms we administer on your behalf (Microsoft 365 / Azure, Google Cloud / Workspace, AWS). Your use of those features is also subject to the applicable third-party terms and privacy policies. MIX2MAX is not responsible for the independent acts or omissions of third-party providers.

6. Fees, Billing & Taxes

Fees are billed in advance on a recurring basis unless stated otherwise on your order. All fees are non-refundable except where required by law. You authorize MIX2MAX and its payment processor to charge your selected payment method for all applicable fees. You are responsible for all taxes associated with your purchase other than taxes based on MIX2MAX's net income.

7. Customer Content & Data

You retain all rights in the data and content you submit to the Services ("Customer Content"). You grant MIX2MAX a limited license to host, process, and transmit Customer Content solely to provide and improve the Services. You are responsible for ensuring you have the rights necessary to submit Customer Content and that it does not violate any law or third-party right.

8. Intellectual Property

MIX2MAX and its licensors own all right, title, and interest in and to the Services, including all associated intellectual property rights. These Terms do not grant you any rights to our trademarks, logos, or branding without prior written consent.

9. Confidentiality

Each party agrees to protect the other's confidential information with at least the same degree of care it uses to protect its own, and to use it solely to perform its obligations under these Terms.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR TRADE USAGE. AI-GENERATED OUTPUT MAY CONTAIN ERRORS OR INACCURACIES; YOU ARE RESPONSIBLE FOR REVIEWING AND VERIFYING ANY OUTPUT BEFORE RELIANCE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIX2MAX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO MIX2MAX IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless MIX2MAX and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your Customer Content, or your violation of these Terms.

13. Termination

Either party may terminate these Terms for material breach if the breach is not cured within thirty (30) days of written notice. MIX2MAX may suspend or terminate the Services immediately for security, compliance, or fraud reasons. Upon termination, your right to use the Services ends and any accrued fees remain payable.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Georgia, USA, excluding conflict-of-law principles. The parties agree that any disputes shall be resolved in the state or federal courts located in Fulton County, Georgia, and each party consents to personal jurisdiction in those courts.

15. Changes

We may update these Terms from time to time. If we make material changes, we will provide notice through the Services or by email. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
